Register company in Azerbaijan
Establishing
company in Azerbaijan has been easier due to the amendments made to Azerbaijani
legislation during the last years. There are two main types of legal entities-
partnership and company. Partnership can
be general and limited partnership, while limited
or additional liability company, joint stock company are main types of
commercial entities. However, business owners generally tend to establish
limited liability Company in Azerbaijan.
A company can be both established by a legal entity or
a physical person. The founder can both be a foreign citizen or Azerbaijani
citizen, or a foreign legal entity or Azerbaijani legal entity since
Azerbaijani laws do not require obligatory local ownership in companies
established in Azerbaijan.
Due to the cases shown above, required documents
differs. If a legal entity acts as the founder, the charter of the founder
legal entity, registration certificate, resolution about establishing company
by the founder legal entity are required as well. And if the founder is foreign
legal entity, these documents need to be certified by notary or legalized by
the Embassy of Azerbaijan in the country where the founder legal entity
situates.
While register
company in Azerbaijan, documents should be submitted to Legal Entity
Registration Department at the Ministry of Taxes, or at "ASAN
service" centers. One of these documents that should be submitted is the application
form that consists of 3 main and 1 additional page, which is a standard form
provided by Ministry of Taxes. This application form should be notarized while
applying.
Furthermore, resolution of the
Board about establishing company and appointing legal representative, document
confirming legal address of the company are required as well. If the owner of
the property is not the founder, or shareholder, then notarized consent of the
owner about the legal address is required. At the same time, documents about
shareholders and founder, such as, identity cards, passports are required while
establishing company in Azerbaijan.
Coming to fees, state registration fees cost 11 AZN
for registering a company, however, there are additional fees for notarizing
the documents (if required) which costs 4 AZN for a page. Furthermore, company
capital should be paid as well, however, it can be paid during 3 months from
the date of registration.
